TERMS OF USE

1. Acceptance of the Terms of Use

These Terms of Use are entered into by and between You and The SpeakEasy Collective ("Company," "we," or "us"). These terms govern your access to and use of our mobile application and website (collectively, the "App").

PLEASE READ CAREFULLY: By using the App, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access the App. The App is available only to users 18 years of age or older.

2. Nature of Service (Non-Clinical Disclaimer)

The SpeakEasy Collective provides a platform for empathetic active listening and peer-style conversational support.

  • Non-Clinical: Our Listeners are not licensed therapists, counselors, doctors, or mental health professionals. The Service is not intended to diagnose, treat, or cure any mental health or medical condition.

  • Not a Crisis Line: This Service is for scheduled or on-demand conversational support. If you are experiencing a life-threatening emergency or mental health crisis, you must contact 911 or 988 (Suicide and Crisis Lifeline) immediately.

3. Voice Transcription and Consent

To ensure the safety of our community and provide quality service, the App facilitates live voice conversations that are transcribed in real-time by automated systems.

  • Consent: By initiating or accepting a call, you provide express consent to the real-time transcription of your conversation.

  • Data Handling: Transcripts are handled according to our Privacy Policy and are used for safety monitoring, "Duty to Act" protocols, and internal quality audits, only.

4. Accessing the App and Account Security

  • Employer Benefit: Access may be provided via your employer. Your right to use the App is contingent upon your continued employment and your employer’s active contract with us.

  • Account Safety: You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized access.

  • 2-FA: We utilize Two-Factor Authentication via work email to protect your account.

5. Prohibited Uses and Content Standards

You agree to use the App only for lawful purposes. You shall not:

  • Use the App to exploit, harm, or harass any person.

  • Engage in language that is defamatory, obscene, indecent, abusive, violent, or hateful.

  • Attempt to solicit personal contact information from Listeners outside of the App.

  • Use the App if you are experiencing a medical or psychological emergency.

Staff Right to Terminate: Our Listeners reserve the right to terminate any call immediately if these conduct standards are violated or if the conversation requires clinical intervention.

6. Monitoring and Enforcement; Termination

We have the right to terminate or suspend your access for any reason, including violation of these Terms.

  • Duty to Act: We reserve the right to disclose your identity or information to law enforcement or emergency services if you express a clear, specific, and imminent intent to harm yourself or others.

  • Legal Cooperation: We will cooperate fully with law enforcement or court orders requesting the disclosure of identity or materials.

7. Intellectual Property

The App and its entire contents (including software, text, and the "SpeakEasy" branding) are owned by the Company and protected by United States and international copyright and trademark laws.

8. Disclaimer of Warranties

YOUR USE OF THE APP IS AT YOUR OWN RISK. THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, EMPLOYEES, AGENTS, OR SUBCONTRACTORS BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, PERSONAL INJURY, EMOTIONAL DISTRESS, OR LOSS OF DATA.

10. Indemnification

You agree to defend and indemnify the Company and its affiliates from any claims, liabilities, or expenses (including attorneys' fees) arising out of your violation of these Terms or your use of the App.

11. Governing Law and Jurisdiction

All matters relating to the App and these Terms shall be governed by and construed in accordance with the internal laws of the State of Rhode Island, without giving effect to any choice or conflict of law provision. Any legal suit shall be instituted exclusively in the federal or state courts located in Rhode Island.

12. Arbitration

At the Company’s sole discretion, it may require You to submit any disputes arising from these Terms to final and binding arbitration administered by the American Arbitration Association (AAA). Such arbitration shall be conducted in Rhode Island.

13. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES.
